Ok, I think the PS3 can send PCM through optical out so the D2 would work. The 360 would only outputs in Dolby Digital and that's going to give you headaches. A few high end Creative cards were reported on forums to support real time Dolby Digital decoding over optical in, but only in Windows XP.

I think that the XBox360 does not support AC3 in an MP4 container at this point. Maybe they'll add it in a future firmware update, but for the time being I don't think it's possible, unfortunately. If anyone was successful in playing MP4 files with h264 video and AC3 audio on the XBox, please let me know.
